VisiStage Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the VisiStage website (visistage.com) and the VisiStage software plugin (the “Software” or “Product”).

VisiStage is operated by Yehaa Trading Trust trading as VisiStage (“we”, “us”, “our”, “Provider”), based in New Zealand.

By accessing the website, downloading the trial, purchasing a licence, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the website or Software.

1. The Product

VisiStage is a professional audio plugin that provides a 3D spatial visual mixer and multi-instance acoustic engine for digital audio workstations (DAWs). It is designed for macOS, Windows, and Linux and is sold as a perpetual licence (one-time purchase).

• One-time purchase (no subscription)
• 14-day free trial of the full product
• All transactions processed in New Zealand Dollars (NZD)
• No aggressive DRM

2. Licence Grant

Upon successful purchase and payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, perpetual licence to install and use the Software on computers you own or control for your personal or professional music production and mixing purposes.

You may install the Software on two (2) machines that you personally use. The licence is tied to you (or your business entity) and is not transferable.

3. Trial Licence

We offer a free 14-day trial of the full Software.

• The trial is provided “as is” for evaluation purposes only.
• No payment is required to start the trial.
• At the end of the 14 days the trial licence expires automatically.
• You are not obligated to purchase after the trial.

The trial exists so that you can fully evaluate compatibility, performance, and suitability on your system and DAW before purchasing.

4. Purchases, Pricing & Payment

• All prices are shown and charged in New Zealand Dollars (NZD).
• Launch special and regular pricing are as displayed on the website at the time of purchase.
• Payment is processed via the website’s secure checkout.
• You are responsible for any applicable taxes (including GST where relevant).

5. Refunds

All sales are final.

Because a full-featured 14-day free trial is provided specifically so that you can test the Software thoroughly on your own system before purchasing, no refunds will be issued once a licence has been purchased and issued.

Digital software licences cannot be returned or “uninstalled” in a verifiable way. Once the licence has been delivered, we have no reliable means of confirming whether the Software has been installed, used, or remains functional on the purchaser’s machines. For this reason, the trial period is the sole opportunity to evaluate the Product.

Nothing in these Terms is intended to exclude or limit any non-excludable rights you may have under the New Zealand Consumer Guarantees Act 1993 (where that Act applies). However, for the avoidance of doubt, once a paid licence has been issued, refunds will not be provided.

6. Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software (except to the extent expressly permitted by law).
• Redistribute, resell, rent, lease, sublicense, or otherwise transfer the Software or licence to any third party.
• Remove or alter any proprietary notices, trademarks, or copyright notices.
• Use the Software to develop a competing product.
• Circumvent any licensing or activation mechanisms.

7. Intellectual Property

All rights, title, and interest in the Software, website, branding, documentation, and related materials remain the exclusive property of Yehaa Trading Trust trading as VisiStage.

The name “VisiStage”, the visual design, the 3D stage concept as implemented, and the underlying technology are protected by copyright and other intellectual property laws.

8. Updates & Support

We may release updates, bug fixes, or new versions from time to time. Availability of free updates is at our discretion.

Support is provided on a best-effort basis via the contact methods on the website. We do not guarantee response times or that every issue will be resolved.

9. Disclaimer of Warranties

The Software and website are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Software will be uninterrupted, error-free, or compatible with every DAW, operating system version, or hardware configuration.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• Our total liability arising out of or related to these Terms or the Software shall not exceed the amount you paid for the licence.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded under the Consumer Guarantees Act 1993 or other applicable New Zealand law.

11. Termination

We may terminate or suspend your licence immediately if you breach these Terms. Upon termination you must cease all use of the Software and destroy all copies in your possession.

12. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.

13. Changes to These Terms

We may update these Terms from time to time. The latest version will always be posted on visistage.com. Continued use of the Software or website after changes constitutes acceptance of the revised Terms.
